These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Quickupload Limited ("Company", "we", "us", or "our"), operating the website and service at quickupload.io (the "Service"). By accessing or using the Service in any manner -- including browsing, uploading files, creating an account, or accessing shared content -- you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree with any provision herein, you must immediately cease using the Service.

1. Acceptance of Terms

By accessing and using Quickupload, you agree to be bound by these Terms of Service, our Privacy Policy (incorporated herein by reference), and all applicable laws and regulations. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

Your continued use of the Service following any changes to these Terms constitutes acceptance of those changes. We recommend reviewing this page periodically to stay informed of updates. Material changes will be highlighted in the "Changes to Terms" section below, and we will also notify registered users via email at least 30 days before significant modifications take effect.

If you do not agree to these Terms, your sole and exclusive remedy is to discontinue use of the Service. Continued use after the effective date of any revised Terms signifies your acceptance of the new terms.

2. Service Description

Quickupload provides a cloud-based file sharing platform that enables users to upload, store, securely share, and manage digital files over the internet. Our Service is designed for individuals, teams, and organizations who need a reliable, privacy-focused solution for transferring files of various sizes without requiring recipients to create accounts or install software.

Core Features Include:

  • File Upload and Storage: Upload files up to 2GB (Pro plan) or 100MB (Free plan) with support for documents, images, videos, archives, code files, and most common file formats. Files are encrypted end-to-end before leaving your device.
  • Password Protection: Add optional password requirements to any share link, ensuring only authorized recipients can access your files. Passwords are processed using PBKDF2 key derivation with 600,000 iterations.
  • File Expiration Settings: Configure automatic expiry periods ranging from 1 hour to 1 year (Pro), or set links to never expire. Expired files are automatically purged within 7 days to protect user privacy.
  • Download Tracking and Analytics: Monitor who downloads your files with real-time analytics including download counts, timestamps, approximate geographic data, and referral sources (Pro and Team plans).
  • Secure Sharing Capabilities: Generate unique shareable links, set download limits per link, enable branded download pages (Team plan), and integrate via REST API for automated workflows.
  • API Access: Programmatic file management through our REST API with endpoints for upload, listing, updating, deleting files, and retrieving analytics. Rate limits vary by plan tier.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, including availability of features, database contents, hours of operation, or the ability to distribute certain content -- without prior notice, except where prohibited by applicable law. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

3. User Responsibilities

As a condition of using Quickupload, you agree to the following responsibilities:

  • Lawful Use Only: You must not upload, share, store, or transmit any content that is illegal, harmful, threatening, abusive, defamatory, obscene, vulgar, pornographic (unless permitted by law with proper age verification), libelous, invasive of another's privacy, hateful, or racially/ethnically offensive. This includes but is not limited to: copyrighted material you do not own or have license to distribute, malware, viruses, trojans, ransomware, exploit code, phishing materials, stolen data, doxxing content, or any content that violates applicable export control or sanctions laws.
  • Account Security: You are solely responsible for maintaining the confidentiality of your account credentials (password, API keys, session tokens). You must promptly notify us if you discover any unauthorized use of your account or any other security breach. You acknowledge that all activities that occur under your account are your responsibility, whether or not you authorized those activities.
  • No Circumvention: You must not attempt to probe, scan, test, or breach the vulnerability of any system or network connected to the Service. Reverse engineering, decompiling, disassembling, or extracting source code from any part of the Service is strictly prohibited unless expressly permitted by applicable law.
  • No Abuse: You must not use the Service for spamming, unsolicited bulk messaging, denial-of-service attacks, harvesting email addresses or other user data, or any activity that interferes with, disrupts, or places an unreasonable burden on the Service's infrastructure.
  • Intellectual Property Respect: You must respect the intellectual property rights of others. Do not upload content that infringes copyrights, trademarks, patents, trade secrets, or other proprietary rights. See Section 10 for detailed copyright procedures.
  • Age Requirement: You must be at least 16 years old to use the Service, or the age of majority in your jurisdiction if higher. If you are under 18, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf.
  • Accurate Information: You must provide accurate, current, and complete information during registration and keep this information updated. Use of false or misleading information may result in immediate account termination.
  • Compliance with Laws: You are responsible for compliance with all applicable local, state, national, and international laws, regulations, and ordinances regarding your use of the Service and the content you share through it.

4. File Storage and Sharing

Files uploaded to Quickupload are subject to the following conditions and policies:

  • Storage Limits: Free accounts receive 5GB total storage; Pro accounts receive 100GB; Team accounts receive 500GB shared storage. Exceeding your storage limit prevents new uploads until you delete existing files or upgrade your plan. We will notify you when you reach 80% and 95% of your storage quota.
  • File Size Limits: Maximum single-file size is 100MB for free users, 2GB for Pro users, and 5GB for Team users. Files exceeding these limits will be rejected during upload with a clear error message suggesting alternatives (compression, splitting, or upgrading).
  • Automatic Expiration: Files expire according to the setting chosen by the uploader at time of upload (default: 7 days for free users). Once expired, files enter a 7-day grace period during which they can be reactivated by the uploader. After the grace period, files are permanently deleted in a cryptographically secure manner (multiple-pass overwrite followed by block-level erasure).
  • Content Moderation: While we employ end-to-end encryption that prevents us from viewing file contents, we reserve the right to remove files upon receiving valid abuse reports, DMCA takedown notices, or court orders. We may use automated scanning for known malware signatures and virus patterns at the point of upload.
  • Encryption: All files are encrypted with AES-256-GCM before transmission and remain encrypted at rest. Encryption keys are derived from user passwords or generated randomly, and are never stored alongside encrypted data on the same physical infrastructure.
  • Bandwidth Considerations: Free accounts have a monthly download bandwidth limit of 1GB. Pro accounts have unlimited bandwidth. Team accounts have unlimited bandwidth with fair-use provisions (abnormally high traffic patterns may trigger a courtesy review).
  • No Guaranteed Permanence: Unless you purchase a Pro or Team plan with "never expire" settings enabled, you should not rely on Quickupload as a permanent backup or archival solution. Always maintain copies of important files in primary storage systems under your direct control.

5. Privacy and Data Protection

Your privacy is fundamental to how we design and operate Quickupload. Our complete privacy practices are documented in our Privacy Policy, which is incorporated into these Terms by reference. Key commitments include:

  • We never sell your personal data to third parties for advertising or marketing purposes.
  • End-to-end encryption ensures we cannot read your uploaded file contents even if compelled to do so.
  • We collect only the minimum data necessary to operate the Service (account credentials, usage metadata, payment processing information handled exclusively by Stripe).
  • You have rights under GDPR (EU users), CCPA (California residents), and Hong Kong PDPO to access, correct, export, and delete your data. Exercise these rights by emailing privacy@quickupload.io.
  • We retain data only for as long as necessary (detailed retention schedules are published in our Privacy Policy Section 5).
  • Regular security audits and annual penetration testing by independent security firms ensure ongoing protection of your data.

6. Service Availability

While we strive for maximum uptime and reliability, no internet service can guarantee uninterrupted availability. Our target uptime is 99.5% per calendar month, excluding scheduled maintenance windows. We reserve the right to:

  • Perform maintenance, upgrades, and security patches. Scheduled maintenance typically occurs between 2:00 AM and 4:00 AM Hong Kong Time (HKT) on Sundays. We aim to provide 48 hours advance notice for planned maintenance via email and dashboard banner.
  • Modify, temporarily disable, or permanently remove features, APIs, or portions of the Service. Feature removals affecting paid subscribers will be communicated at least 30 days in advance, and affected users may request prorated refunds if the removal materially diminishes the value of their subscription.
  • Change storage limits, pricing, or plan structures. Pricing changes take effect at the start of your next billing cycle -- we will never change prices mid-cycle without explicit consent.
  • Implement emergency maintenance, security patches, or infrastructure changes without advance notice when necessary to address critical vulnerabilities, active attacks, or provider outages. Such events are rare and we work to minimize their duration and impact.
  • Rate-limit or throttle traffic during abnormal load conditions (e.g., viral sharing events, DDoS mitigation) to maintain service stability for all users. Throttling is applied fairly based on traffic volume, not user identity.

7. Termination

We reserve the right to terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

  • Breach of these Terms of Service (any section, including but not limited to Sections 3, 4, and 10)
  • Illegal or unauthorized use of the Service, or conduct that we reasonably believe violates applicable law
  • Non-payment of fees for more than 14 days past the due date (for paid subscriptions)
  • Abusive behavior towards our staff, support representatives, or other users, including harassment, threats, or discriminatory language
  • Activity that poses a security risk to the Service, its infrastructure, or other users
  • Prolonged account inactivity (no logins for 24 consecutive months for free accounts; 12 months for paid accounts)
  • Request by law enforcement, regulatory authority, or valid court order
  • Determination, in our sole discretion, that your use of the Service has become commercially viable enough to require a paid plan (fair-use policy for free tier)

Upon termination: (a) your right to use the Service ceases immediately; (b) your account data enters a 30-day grace period during which you may export your data (see Privacy Policy); (c) after the grace period, all data is permanently deleted in accordance with our data retention policy; (d) any prepaid but unused subscription fees will be prorated and refunded to your original payment method within 30 business days; (e) you lose access to all files, shares, analytics history, and account settings irreversibly.

You may terminate your own account at any time from Settings → Account → Delete Account. Self-initiated deletion follows the same data purging timeline described above. We may retain anonymized, aggregated usage statistics for internal analytics purposes even after account deletion -- this data cannot be linked back to you individually.

8. Changes to Terms

We may modify these Terms at any time to reflect changes in our services, applicable laws, regulatory requirements, or business practices. When we make material changes (defined as changes that substantively affect your rights or obligations under these Terms), we will:

  • Post the updated Terms on this page with the revised "Last updated" date prominently displayed at the top
  • Send an email notification to all registered users at least 30 days before the changes take effect
  • Display a banner notification on the dashboard when users log in during the notice period
  • Maintain an archive of previous versions of these Terms for at least 2 years for transparency

Non-material corrections (typos, formatting, clarifications that do not change meaning) take effect immediately without advance notice. Continued use of Quickupload after changes become effective constitutes acceptance of the modified Terms. If you do not agree with the modified Terms, your sole remedy is to discontinue use of the Service as described in Section 7.

10. Intellectual Property & Copyright

Quickupload respects the intellectual property rights of others and expects its users to do the same. We respond to notices of alleged copyright infringement in accordance with applicable law, including the Digital Millennium Copyright Act (17 U.S.C. § 512, "DMCA") and equivalent international frameworks such as the EU Copyright Directive and Hong Kong Copyright Ordinance (Cap. 528).

DMCA Takedown Procedure (for Copyright Owners):

  1. Prepare a written notification that includes: (a) identification of the copyrighted work claimed to have been infringed (or a representative list if multiple works); (b) identification of the material that is claimed to be infringing and its location on our Service (the full URL); (c) your contact information (name, address, telephone number, and email); (d) a statement that you have a good faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law; (e) a statement, under penalty of perjury, that the information in the notification is accurate and that you are authorized to act on behalf of the copyright owner; (f) your physical or electronic signature.
  2. Send the notification to our designated DMCA agent at legal@quickupload.io with the subject line "DMCA Takedown Notice".
  3. Upon receipt of a valid, complete notification, we will expeditiously remove or disable access to the allegedly infringing material and attempt to notify the uploader of the action taken.
  4. We will also forward a copy of the takedown notice (including the claimant's contact information) to the affected uploader so they may pursue a counter-notification if they believe the takedown was made in error.

Counter-Notification Procedure (for Uploaders):

  1. If you believe your content was removed due to mistake or misidentification, send a written counter-notification to legal@quickupload.io containing: (a) identification of the removed material and its previous location; (b) a statement under penalty of perjury that you have a good faith belief the material was removed as a result of mistake or misidentification; (c) your name, address, telephone number, and consent to federal district court jurisdiction (or equivalent in your country); (d) your physical or electronic signature.
  2. Upon receipt of a valid counter-notification, we will forward it to the original complaining party and may replace the removed material within 10-14 business days unless we receive notice that the copyright owner has filed an action seeking a court order to restrain the alleged infringer from engaging in the infringing activity.

Repeat Infringer Policy: Users who receive three (3) or more valid DMCA takedown notices within a 12-month period will have their account permanently terminated and all files deleted. We maintain a record of all takedown notices received and actions taken. This policy applies regardless of subscription status -- Pro and Team accounts are not exempt from repeat infringer termination.

11. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region ("Hong Kong" or "HKSAR"), without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

You irrevocably submit to the exclusive jurisdiction of the courts of Hong Kong for the settlement of any disputes arising out of or relating to these Terms or your use of the Service. Notwithstanding the foregoing, we reserve the right to seek injunctive relief or equitable remedies in any court of competent jurisdiction to protect our intellectual property, confidential information, or prevent irreparable harm.

Dispute Resolution Process:

Before initiating formal legal proceedings, both parties agree to the following good-faith dispute resolution process:

  1. Negotiation (15 days): The aggrieved party sends a written description of the dispute to the other party. Both parties negotiate in good faith to resolve the matter amicably. All negotiations are conducted in writing (email) and are confidential and without prejudice.
  2. Mediation (30 days): If negotiation fails, either party may propose mediation administered by a mutually agreed-upon mediator (we suggest the Hong Kong International Arbitration Centre's mediation services or an equivalent ADR provider). Each party bears its own costs; mediator fees are split equally. Mediation sessions may be conducted remotely via video conference.
  3. Binding Arbitration: If mediation does not resolve the dispute within 30 days, either party may initiate binding arbitration under the HKIAC Administered Arbitration Rules (current version at time of filing). Arbitration shall be conducted in English, with a sole arbitrator appointed by HKIAC. The arbitrator's decision is final and binding, and judgment may be entered in any court having jurisdiction. Each party bears its own arbitration costs unless the arbitrator decides otherwise based on the merits.

Note: Either party may seek interim injunctive relief from a court at any time during the above process if delay would cause irreparable harm. Seeking injunctive relief does not waive the requirement to follow the dispute resolution process for substantive claims.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Quickupload and its officers, directors, employees, agents, affiliates, successors, assigns, and suppliers shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to: loss of profits, revenue, data, goodwill, or business opportunities; loss or corruption of data or files; downtime or service interruption; personal injury or property damage; or any other losses arising from or related to your use of or inability to use the Service, regardless of the cause of action (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for all claims arising out of or related to these Terms or the Service, whether in contract, tort, or otherwise, shall not exceed the total amount of fees you paid to us in the twelve (12) months preceding the event giving rise to the liability. This limitation applies regardless of the theory of liability and even if the limited remedy fails of its essential purpose.

Some jurisdictions do not allow the exclusion or limitation of consequential or incidental damages, so the above limitations may not fully apply to you. In such cases, our liability shall be limited to the fullest extent permitted by applicable law.

Force Majeure:

We shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to: acts of God (earthquakes, floods, typhoons, natural disasters), war, terrorism, riots, civil unrest, pandemics or epidemics, government actions (laws, regulations, orders, restrictions), internet infrastructure failures, power outages, cyberattacks by third parties, strikes or labor disputes, or failures by third-party service providers (cloud hosting, CDN, payment processors). During force majeure events, we will use commercially reasonable efforts to resume normal operations as quickly as possible and will communicate status updates via our status page (status.quickupload.io) and social media channels.

13. Indemnification

You agree to indemnify, defend, and hold harmless Quickupload, its parent company, subsidiaries, affiliates, officers, directors, employees, agents, licensors, and successors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to: (a) your use of or inability to use the Service; (b) your violation of these Terms or any applicable law or regulation; (c) any content you upload, share, store, or transmit through the Service; (d) any infringement of any third-party intellectual property right arising from your content or activities; (e) any misuse of your account credentials, whether authorized or unauthorized; or (f) any interaction between you and other users of the Service.

This indemnification obligation survives termination of these Terms and your account. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, in which case you will cooperate with us in asserting available defenses. You will not settle any indemnifiable matter without our prior written consent (which will not be unreasonably withheld, conditioned, or delayed).

14. Service Level & Availability

We commit to maintaining the following service level targets for all paying subscribers (Pro and Team plans):

  • Uptime Commitment: 99.5% monthly availability, measured as the percentage of time the Service is accessible and functional (returns successful HTTP responses) during each calendar month. Downtime caused by scheduled maintenance (announced 48+ hours in advance), force majeure events, or third-party provider outages beyond our control is excluded from uptime calculations.
  • Scheduled Maintenance Windows: Routine maintenance occurs during low-traffic windows, typically Sunday 02:00-04:00 HKT (Hong Kong Time). Emergency security patches may be deployed without advance notice. We aim to keep individual maintenance windows under 30 minutes.
  • Performance Targets: File uploads should initiate within 2 seconds of submission. Page loads should complete within 3 seconds (p95) on broadband connections. API responses should return within 500ms (p95) for non-upload endpoints. These targets are measured across global CDN edge locations.
  • Service Credits: If monthly uptime falls below 99.5%, eligible Pro and Team subscribers may request a service credit equal to (99.5% - actual uptime%) × one month's fee. Service credits are applied as discounts to future invoices, not cash refunds. Requests must be submitted within 30 days of the month in question.
  • Status Page: Real-time service status is available at status.quickupload.io, showing historical uptime, current incidents, and scheduled maintenances. We encourage subscribing to status page notifications for proactive awareness.

Free-tier users are offered best-effort service without formal SLA commitments. However, we strive to deliver comparable performance to all users regardless of plan.

15. Refund Policy

We want every user to be satisfied with Quickupload. If you are not happy with your subscription, here is our straightforward refund policy:

  • 14-Day Full Refund Window: For any new subscription (monthly or annual), you may request a full refund within 14 days of the initial purchase date, no questions asked. To request, email support@quickupload.io with your account email and "Refund Request" in the subject line. Refunds are processed back to your original payment method within 5-10 business days.
  • Prorated Annual Refunds: For annual subscriptions cancelled after the 14-day window, you are entitled to a prorated refund of unused months. Calculation: (remaining months ÷ 12) × annual price − 15% administrative fee. Example: cancelling a $90 annual plan with 6 months remaining yields approximately ($90 × 6/12) − $13.50 = $31.50 refund.
  • Automatic Downgrade: Upon cancellation (at any time), your account reverts to the Free tier at the end of your current billing period. No partial-month refunds are provided -- you retain full Pro/Team benefits until the period ends.
  • No Refund Scenarios: Refunds are not available for: (a) account terminations due to Terms of Service violations (Sections 3, 7, 10); (b) service credits already issued for SLA breaches; (c) promotional or discounted plans where refundability was explicitly stated as non-refundable at purchase; (d) purchases older than 12 months.
  • Payment Processing: All payments are processed securely through Stripe. We never store your full credit card number. Refunds are initiated through Stripe's system and appear on your statement as "QUICKUPLOAD REFUND". Timing depends on your card issuer (typically 5-10 business days, up to 30 days for some international cards).

16. Data Retention & Deletion

We follow a principle of data minimization -- we retain data only as long as necessary for the purposes for which it was collected, and then securely delete it. Here are our specific retention timelines:

  • Active Files: Retained for the duration specified by the uploader's expiry setting (up to 1 year for Pro "never expire" files). Files can be deleted by the user at any time.
  • Expired Files (Grace Period): After expiry, files remain recoverable for 7 days. During this window, uploaders can reactivate files from their "Expired Files" archive.
  • Permanently Deleted Files: After the 7-day grace period (or upon user-initiated deletion), files undergo secure multi-pass cryptographic erasure. Deletion is irreversible -- we cannot recover deleted files even if requested.
  • Deleted Accounts: Upon account deletion (user-initiated or administrative), all associated data enters a 30-day purge cycle. During this window, users may request data export. After 30 days, all data is permanently erased.
  • Download Logs: Anonymized download records (timestamp, hashed IP, user-agent, file ID) retained for 90 days for abuse investigation and analytics purposes, then automatically purged.
  • Analytics Data: Aggregated usage analytics retained for 13 months for trend analysis and product improvement. Individual-level analytics are anonymized after 90 days.
  • Payment Records: Transaction histories, invoices, and receipts retained for 7 years to comply with tax accounting requirements (Hong Kong Inland Revenue Department regulations). These contain only transaction metadata -- no file content or personal messages.
  • Support Communications: Email correspondence with support retained for 2 years for quality assurance and dispute resolution purposes.

17. Third-Party Services

Quickupload integrates with and relies on reputable third-party service providers to deliver our platform. Below is a transparent disclosure of these providers, their roles, and our relationship with them:

  • Stripe, Inc. (Payment Processing): Handles all credit card transactions, subscription billing, and refund processing. We do not store your credit card number -- all payment data is tokenized and processed exclusively by Stripe's PCI-DSS Level 1 certified infrastructure. Quickupload is not liable for payment processing errors, declines, or delays caused by Stripe's systems.
  • Vercel, Inc. (Web Hosting & Infrastructure): Hosts our web application, API servers, and database infrastructure on their globally distributed edge network. Vercel provides the compute layer that runs our Next.js application. Quickupload is not liable for Vercel outages, deployment issues, or infrastructure-level service interruptions.
  • Cloudflare, Inc. (CDN & Security): Provides content delivery network (CDN) services for fast global file downloads, DDoS protection, Web Application Firewall (WAF), and TLS certificate management. Cloudflare routes traffic through 200+ global edge locations. Quickupload is not liable for Cloudflare routing issues, cache inconsistencies, or security feature false positives.
  • Google LLC (Analytics): Google Analytics 4 collects anonymized, aggregated usage statistics (page views, feature adoption rates, geographic distribution) to help us improve the Service. No personally identifiable information is shared with Google for advertising purposes. Users may opt out via browser settings or our cookie consent manager.
  • Payload CMS, Inc. (Content Management): Powers our blog and content management backend. Payload stores blog post content, categories, and publishing metadata. No user account data or file content passes through Payload CMS.
  • SendGrid (Email Delivery, if enabled): Transactional emails (download notifications, password resets, welcome emails) may be delivered via SendGrid's email infrastructure. Email addresses are passed to SendGrid solely for delivery -- SendGrid does not use them for marketing purposes.

Each third-party provider maintains its own terms of service and privacy policy. Links to their respective policies are available upon request. We periodically review our third-party providers' security and compliance posture and may change providers if we determine that a provider no longer meets our standards.
